1. Agreement to Terms By accessing or using HardTarget, Inc.’s services, including MONITOR™, you agree to these Terms of Service ("Terms"). If you do not agree, you may not use our services.

2. Nature of Services HardTarget, Inc. provides value-added services based on the monitoring and intelligence solutions offered by our Strategic Research Partners. Under our partnerships, HardTarget integrates, refines, and contextualizes their monitoring insights as part of the MONITOR™ offering. While our Strategic Research Partners are responsible for generating the underlying intelligence and monitoring data, HardTarget customizes and delivers these insights as part of the HardTarget System to better serve client needs.

3. Limitations of Liability

a. HardTarget’s Role

• HardTarget’s value-added services include the contextualization of monitoring data and intelligence provided by our Strategic Research Partners. We are not liable for inaccuracies or omissions in the original data produced by our Strategic Research Partners.

b. Disclaimer of Warranties

• All services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, HardTarget disclaims any liability related to the use of MONITOR™.

4. Indemnification You agree to indemnify and hold HardTarget harmless from claims, liabilities, damages, or expenses arising from your use of the MONITOR™ services, except where caused by our gross negligence or willful misconduct.

5. Termination We reserve the right to terminate or suspend access to our services for any reason, including breach of these Terms.

6. Governing Law These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles.
